1. Introduction
These Terms and Conditions ("Agreement") govern the use of services provided by Fragment Marketing LTD, a company registered in the United Kingdom under company number 16116533, with its registered address at 71-75, Shelton Street, Covent Garden, London, WC2H 9JQ, UNITED KINGDOM ("Company," "we," "our," or "us"). By engaging our services, you ("Client") agree to comply with and be bound by these Terms and Conditions.
2. Services
Fragment Marketing LTD provides the following services:
- Search Engine Optimization ("SEO")
- Content creation for LinkedIn, Facebook, and Instagram
-Email marketing
-Paid advertising campaigns ("Paid Ads")
3. Engagement and Scope of Services
3.1. The scope of services shall be defined in a written proposal or agreement provided to the Client before commencing any work. Any additional services beyond the agreed scope will require a separate agreement and may incur additional fees.
3.2. The Client shall provide all necessary information, materials, and access to accounts required for the execution of the services. The Company shall not be liable for any delays or issues arising from the Client's failure to provide such information or access.
4. Payment Terms
4.1. Fees for services will be outlined in a separate agreement or invoice provided to the Client. Payment is required as per the terms specified in the invoice or agreement.4.2. Payments shall be made in GBP via the payment method agreed upon. The Client agrees to pay all fees in full and on time. Late payments may incur interest at a rate of 2% per month.
5. Client Responsibilities
5.1. The Client is responsible for providing accurate and complete information necessary for the Company to perform its services.
5.2. The Client agrees to comply with all applicable laws and regulations related to the services, including but not limited to advertising standards, copyright, and data protection laws.
6. Confidentiality
6.1. Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation shall survive the termination of this Agreement.
6.2. The Company reserves the right to use anonymized data or results for marketing and portfolio purposes unless explicitly prohibited by the Client in writing.
7. Limitation of Liability
7.1. The Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
7.2. The Company’s liability shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
8. Termination
8.1. Either party may terminate this Agreement with 30 days' written notice. Termination does not relieve the Client of the obligation to pay for services rendered up to the termination date.
8.2. The Company reserves the right to terminate the Agreement immediately if the Client breaches these Terms and Conditions.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Amendments
The Company reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated to the Client and will become effective upon such communication.
11. Entire Agreement
This Agreement constitutes the entire understanding between the Company and the Client regarding the services and supersedes any prior agreements or understandings, whether written or oral.
